Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Billacle accounts-payable automation product and related websites and services (the “Service”), provided by ABHIBYTE SOLUTIONS LLP (“we”, “us”, “our”). By accessing or using the Service, you agree to these Terms. If you use the Service on behalf of an organisation, you confirm you are authorised to bind it.

1. The Service

Billacle captures, extracts, validates, routes for approval, reconciles (including GST/ITC) and syncs invoice data to your ERP and connected systems. Features available to you depend on your selected plan.

2. Accounts & trials

You are responsible for the accuracy of your registration details, for safeguarding your credentials, and for all activity under your account. Trial and free-tier access may be subject to identity verification, fair-use limits, and may be modified or withdrawn at our discretion.

3. Acceptable use

You agree not to misuse the Service, including by attempting to disrupt it, gain unauthorised access, reverse-engineer it, upload unlawful content or malware, or use it to infringe the rights of others or violate applicable law.

4. Customer data

You retain all rights to the data and documents you submit (“Customer Data”). You grant us a limited licence to process Customer Data solely to provide and improve the Service. Our handling of personal data is described in our Privacy Policy. You are responsible for having the necessary rights and consents to provide Customer Data, including the data of your employees and vendors.

5. Third-party integrations

The Service integrates with third-party systems (e.g. ERPs, email providers, payment gateways, verification services). Your use of those services is governed by their own terms, and we are not responsible for third-party systems or their availability.

6. Plans, fees & billing

Paid plans are billed in accordance with the plan and pricing you select, or the order you agree with us, at sign-up. Unless stated otherwise, fees are exclusive of applicable taxes, which are charged in addition where required.

7. Cancellation

You may cancel at any time; cancellation stops billing for future periods. Any plan- or order-specific terms agreed with us continue to apply.

8. Service availability & support

We aim to keep the Service available and reliable but do not guarantee uninterrupted or error-free operation. We may carry out maintenance, updates and changes to the Service from time to time.

9. Intellectual property

The Service, including its software, design and content (excluding Customer Data), is owned by ABHIBYTE SOLUTIONS LLP and its licensors. No rights are granted except as expressly set out in these Terms.

10. Confidentiality

Each party will protect the other's non-public information disclosed in connection with the Service and use it only as needed to perform under these Terms.

11. Disclaimers

The Service is provided “as is” and “as available” to the maximum extent permitted by law. Billacle assists with, but does not replace, your financial, tax and compliance judgement; you remain responsible for verifying outputs before relying on them.

12. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental or consequential damages, and our total aggregate liability arising out of or in connection with the Service is limited to the fees you paid us in the twelve (12) months preceding the event giving rise to the claim.

13. Termination

You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms or as required by law. On termination, your right to use the Service ends; data export and deletion are handled as described in our Privacy Policy.

14. Governing law & dispute resolution

These Terms are governed by and construed in accordance with the laws of India. Subject to the arbitration below, the courts at Chhatarpur, Madhya Pradesh have exclusive jurisdiction over any dispute arising out of or in connection with these Terms.

Any dispute that cannot be resolved amicably shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by mutual agreement. The seat and venue of arbitration shall be Chhatarpur, Madhya Pradesh, and the language of the arbitration shall be English.

15. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified through the Service or by email, and continued use after the effective date constitutes acceptance.
